FirstCry-Backed Swara Baby Products Gets SEBI Nod for Rs 1,000 Crore IPO

Swara Baby Products, the diaper manufacturer controlled by FirstCry parent Brainbees Solutions, received approval from the Securities and Exchange Board of India on Tuesday for its proposed Rs 1,000 crore initial public offering.

The company filed its draft red herring prospectus on July 2 and got the regulator's final observations on October 6. With that clearance in hand, it can now file a red herring prospectus and launch the issue, typically within a year.

How the issue is structured

The IPO is split evenly. Rs 500 crore will be raised through fresh shares, with the money going to the company, and Rs 500 crore through an offer for sale by existing shareholders.

Brainbees Solutions, which held 76.59% of Swara at the time of filing, plans to sell up to Rs 300 crore worth of shares. Anadya Bon Merchari LLP, which owned 7.51%, will sell up to Rs 200 crore. The company may also raise up to Rs 100 crore in a pre-IPO placement, which would shrink the fresh issue by the same amount.

JM Financial and Avendus Capital are the book-running lead managers.

Where the money goes

From the fresh issue, Rs 198.2 crore is earmarked for a new manufacturing facility at Pithampur in Madhya Pradesh. About Rs 100 crore will repay or prepay the company's own borrowings, and Rs 27.5 crore will go into subsidiaries Solis Hygiene, Swara Hygiene and KA Enterprises Hygiene to clear their debt. The remainder is set aside for acquisitions and general corporate purposes.

The business behind the brand names

Founded in 2018, Swara is primarily a contract manufacturer. It makes baby diapers, adult diapers, sanitary napkins and panty liners for consumer brands, and counts Brainbees, Piramal Pharma and Himalaya Wellness among its customers. It also sells its own labels, Cuddles for babies and Shield for adults, through e-commerce and modern retail. It describes itself as the country's largest contract maker of baby diapers.

Baby diapers dominate the mix, contributing about 79% of FY26 revenue, with adult diapers at roughly 16% and feminine hygiene near 2.7%. The company bought KA Enterprises Hygiene, a maker of feminine hygiene products, in December 2025 to build out that smaller segment. It runs four plants across Pithampur and Indore.

Numbers that will shape valuation

Revenue from operations rose about 23% to Rs 1,163.9 crore in FY26 from Rs 943 crore a year earlier. Net profit increased roughly 18.5% to Rs 95.6 crore from Rs 80.7 crore. Profit growing slower than sales points to some margin pressure, something investors will weigh once the price band is set.

The contract manufacturing model has advantages: it spreads plant costs across several brand owners and avoids heavy advertising spending. The flip side is concentration risk, since a large share of business depends on a few clients, including its own parent.

Why it matters for FirstCry investors

For listed Brainbees, the IPO is a chance to unlock value from a manufacturing arm that supplies its own retail platform, and to raise cash through the Rs 300 crore stake sale. It also gives public market investors a rare direct way to bet on India's under-penetrated disposable hygiene market.

The approval arrives during a busy stretch for the primary market, with September's IPO fundraising the highest of any month this calendar year despite a weak secondary market.
